Welcome to SupplyBridge. These Terms of Service ("Terms") govern your access to and use of our platform, services, and website. By accessing or using SupplyBridge, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.
1. Acceptance of Terms
By creating an account or using SupplyBridge, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You also represent that you have the authority to bind your organization to these Terms if you are using the platform on behalf of a company.
You must be at least 18 years old to use our platform. By using SupplyBridge, you represent and warrant that you meet this age requirement.
2. User Accounts
2.1 Account Registration
To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong password and keep it confidential
- Notify us immediately of any unauthorized use of your account
- Be responsible for all activities conducted through your account
- Log out from your account at the end of each session
2.3 Account Types
SupplyBridge offers two types of accounts:
- Buyer Accounts: For companies seeking suppliers and manufacturing services
- Supplier Accounts: For manufacturers and service providers offering capabilities
3. Platform Services
3.1 Service Description
SupplyBridge provides an AI-powered platform connecting buyers with qualified suppliers in the automotive and manufacturing industries. Our services include:
- AI-powered supplier search and matching
- Supplier verification and quality assessment
- RFQ (Request for Quotation) management
- Cost benchmarking and market insights
- Expert consulting services
3.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our platform at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the platform.
4. User Conduct and Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Violating any applicable laws or regulations
- Providing false, misleading, or fraudulent information
- Impersonating another person or entity
- Sending spam, unsolicited messages, or bulk communications
- Uploading viruses, malware, or harmful code
- Scraping, data mining, or automated data collection
- Interfering with or disrupting platform functionality
- Reverse engineering or attempting to extract source code
- Reselling or redistributing platform access without authorization
- Using the platform to develop competing services
5. Intellectual Property Rights
5.1 Platform Ownership
SupplyBridge and its licensors own all rights, title, and interest in and to the platform, including all software, technology, content, trademarks, and intellectual property. These Terms do not grant you any ownership rights to the platform.
5.2 User Content
You retain ownership of any content you submit to the platform (company information, certifications, product data, etc.). By submitting content, you grant SupplyBridge a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating and improving the platform.
6. Payment Terms
6.1 Subscription Fees
Certain features of the platform require payment of subscription fees. You agree to pay all applicable fees as described on our pricing page. Fees are non-refundable except as required by law or as explicitly stated in these Terms.
6.2 Billing and Renewal
Subscription fees are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date. We reserve the right to change our fees with 30 days' notice.
6.3 Taxes
All fees are exclusive of applicable taxes (VAT, sales tax, etc.). You are responsible for paying all taxes associated with your use of the platform.
7. Disclaimer of Warranties
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SUPPLYBRIDGE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
While we conduct verification of suppliers, we do not guarantee the accuracy, reliability, or quality of any supplier information. You are responsible for conducting your own due diligence before entering into any business relationships.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE PLATFORM; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION; (D) ANY BUGS, VIRUSES, OR THE LIKE; OR (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT.
In no event shall SupplyBridge's total liability to you for all damages exceed the amount you paid to SupplyBridge in the twelve (12) months preceding the claim, or €100, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless SupplyBridge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the platform.
10. Dispute Resolution
10.1 Informal Resolution
If you have any dispute with SupplyBridge, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice to [email protected].
10.2 Arbitration
If the dispute cannot be resolved informally, you agree that any dispute shall be resolved through binding arbitration in accordance with the rules of the German Arbitration Institute (DIS), with the seat of arbitration in Munich, Germany.
10.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
11. Termination
You may terminate your account at any time by contacting us at [email protected]. We may suspend or terminate your account at any time for any reason, including if we believe you have violated these Terms.
Upon termination, your right to use the platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the platform after such changes constitutes your acceptance of the new Terms.
13. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and SupplyBridge.
- Waiver: No waiver of any term shall be deemed a further or continuing waiver.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Assignment: You may not assign these Terms without our prior written consent.
- Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our control.
